Welcome to our Licensing Application Visiometa Access Hub, provided by Visiometa GmbH. By using this application and associated services, you agree to the terms outlined below. Please read them carefully.
1. Acceptance of Terms
Your use of the Licensing Application signifies your agreement to these Terms of Service and any additional policies. If you disagree with any part of these Terms, you must not use the service. reserve the right to modify or update these Terms at any time. The latest version of the Terms will be posted on this page with an updated “Last Updated” date. Your continued use of the Licensing Application after any changes to the Terms constitutes your acceptance of those changes.
2. Definitions
- Visiometa GmbH: The company providing and maintaining the Licensing Application hereinafter called Provider. Authorized provider employees have administrative access and privileges to manage licenses tenants, users, and other system resources.
- Visiometa: Software for the planning of casting processes, hereinafter called Casting Software.
- Visiometa Access Hub: Licensing Application that manages the authorized access to Visiometa hereinafter called Licensing Application.
- Licenses: Software or service licenses provided by Visiometa GmbH, which may be assigned to tenants and end users.
- Tenants: Companies or organizations that subscribe to and use the Licensing Application. A tenant is created by the Provider and can have one or more TenantAdmins, who are authorized to manage users and licenses within their organization.
- TenantAdmins: Authorized administrators within a tenant (company or organization) who are responsible for managing their company’s users and licenses. TenantAdmins can assign and unassign licenses to users and manage user accounts but cannot create or renew licenses. License renewals must be requested from the Provider.
- Users: Individual end users within a tenant who are assigned a license by a TenantAdmin. Users can use their credentials to log into Visiometa Access Hub and manage their own basic information (e.g., email address, password). They can also use their credentials in combination with an assigned valid license to log into Visiometa.
3. License Grant and Restrictions
3.1 Right to Access and Use the Licensing Application
We grant you a limited, non-exclusive, non-transferable right to access and use the Licensing Application for its intended purposes, subject to your compliance with these Terms of Service. This right allows you to:
- Use the Licensing Application to manage user accounts (for TenantAdmins) and perform other administrative functions, as permitted by your role.
- Access and interact with the functionalities of the Licensing Application including managing and assigning licenses to users within your organization.
This right to access the Licensing Application does not grant you any ownership rights over the Licenses themselves. The Licenses managed by TenantAdmins are separate from the Licensing Application and are used exclusively to grant end users access to the Casting Software.
- TenantAdmins are responsible for assigning and managing Licenses for Users within their organization. These Licenses are required for Users to access the Casting Software and interact with its features.
- The Licensing Application serves as a tool to manage these Licenses, but the Licenses themselves must be obtained through the Provider and are subject to the terms specified in these Terms of Service.
In summary, the Licensing Application provides the tools for managing Licenses, but it is the Licenses that grant Users access to the Casting Software, and those licenses must be valid and assigned to Users.
3.2 License Restrictions
You shall not:
- Reverse engineer, decompile, or attempt to extract the source code of the Licensing Application, except as permitted by applicable law.
- Use the Licensing Application for unlawful purposes or in violation of any applicable local, state, national, or international law.
- Transfer or sublicense your rights to use the Licensing Application to third parties.
4. Communications
By using the Service, you consent to receive communications from us that are necessary for account management, security, and the proper functioning of the Service. We may contact you primarily via email, but may also use other reasonable methods when appropriate (such as in-app notifications or messages displayed within the Service). These operational communications may include account confirmations, password resets, service updates, security alerts, and other notices related to your use of the Service. Because these communications are required to deliver the Service, you may not opt out of receiving them except by discontinuing your use of the Service. Preferences for optional or promotional communications, where offered, may be managed separately.
5 .Roles and Permissions
5.1 Provider’s Administrative Access
As the Provider of the Licensing Application, we retain full administrative access to the system and services, including:
- The ability to manage licenses for Tenants.
- The ability to review and manage user accounts, perform troubleshooting, and provide support.
- The ability to suspend, revoke, or modify licenses and accounts for any Tenant at our discretion.
5.2 Tenant and TenantAdmin Roles
- Tenant: A company or organization that subscribes to the Licensing Application. Each Tenant has its own set of licenses, which are assigned to individual users within that organization. The Tenant is responsible for ensuring that all users within their organization are in compliance with these Terms.
- TenantAdmin: Authorized administrators within a Tenant (company or organization) who can:
- Create and manage User accounts within their organization.
- Assign and unassign existing valid licenses for Users.
- Modify basic user details such as email addresses or passwords.
5.3 Users
- Users: Individuals within a Tenant who are assigned a license by a TenantAdmin.
- Users can:
- Log into the Licensing Application and update their personal information (e.g., email address, password).
- Log into the casting software, which will connect to the API to validate the user's license.
- Users cannot:
- Create or manage other users or licenses.
- Access administrative features or configuration settings.
6. Use of the Licensing Application
6.1 Access and Account Creation
To access the Licensing Application, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you suspect unauthorized access to your account, you must notify us immediately.
6.2 TenantAdmin Responsibilities
If you are a TenantAdmin, your responsibilities include:
- Ensuring Compliance: You must ensure that all users within your Tenant (including other TenantAdmins and Users) comply with these Terms of Service.
- Managing User Accounts: You are responsible for creating and managing User accounts within your Tenant, including assigning licenses to Users.
- License Management: You are responsible for managing the licenses assigned to your Tenant, including ensuring they are valid and active, and ordering license renewals from the Provider when necessary.
- Preventing Misuse: You agree not to misuse the Licensing Application for any unlawful, fraudulent, or malicious activities and to ensure that your users do not misuse the system.
- Revoking or Terminating Access: You are responsible for revoking or terminating User access to the Licensing Application if necessary, including when a User is no longer authorized or permitted to use the system.
6.3 User Responsibilities
If you are a User, your responsibilities include:
- Profile Maintenance: You are responsible for maintaining the accuracy of your personal information (e.g., email address, password) within the Licensing Application.
- Acceptable Use: You agree not to misuse the Licensing Application or the Casting Software for any unlawful, fraudulent, or malicious activities. You will not attempt to bypass any access restrictions or validation checks.
- Compliance with Terms: You must comply with these Terms of Service while using the Licensing Application and Casting Software.
7. Software and API Integration
The Licensing Application integrates with casting software that connects to our API for license validation. By using the Licensing Application, you agree that:
- The casting software will check whether you or your users have valid licenses assigned before allowing access.
- You will not attempt to bypass or interfere with the validation process.
8. License Assignment, Renewal, and Termination
8.1 License Assignment
Licenses are assigned by the Provider to Tenants. TenantAdmins then manage the assignment of licenses to Users. TenantAdmins are responsible for ensuring that licenses are properly assigned to Users.
8.2 License Renewal
TenantAdmins cannot renew licenses themselves. Instead, TenantAdmins must order renewals from the Provider through the appropriate channels. Upon renewal, the Provider will assign updated licenses to the Tenant.
8.3 Termination of Access
We reserve the right to suspend or terminate your access to the Licensing Application if you violate these Terms of Service. In addition, TenantAdmins may revoke or terminate a User's license or access to the Licensing Application at any time.
8.4 License Expiry
Licenses provided by the Provider are subject to expiry. TenantAdmins are responsible for ordering license renewals before the expiration date to ensure continued access for their Users.
9. Privacy and Data Protection
We are committed to protecting your privacy and complying with applicable data protection laws, including the General Data Protection Regulation (GDPR). A separate Privacy Policy governs the collection, use, and processing of your personal data.
10. Disclaimer of Warranties
The Licensing Application is provided on an “as-is” and “as-available” basis.We do not warrant that the Licensing Application will be error-free, uninterrupted, or meet your specific requirements. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to any warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Limitation of Liability
To the extent permitted by applicable law, Visiometa GmbH shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, data, or business opportunities, arising from or related to your use of the Licensing Application, even if we have been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify, defend, and hold harmless Visiometa GmbH and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Licensing Application.
- Your violation of these Terms of Service.
- Any third-party claims arising from your actions.
13. Governing Law and Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of Germany. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Schmallenberg, Germany.
14. Miscellaneous
- Severability: If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision will be severed from these Terms, and the remainder of the Terms will remain in full effect.
- Entire Agreement: These Terms of Service constitute the entire agreement between you and Visiometa GmbH regarding the use of the Licensing Application.
